Terms of Engineering Services

1. Scope of Master Services
These Terms govern the engineering, architectural design, deployment, and ongoing managed operations of artificial intelligence software and computing systems by Alector Lab Ltd. ("Alector Lab") for enterprise clients ("Client"). Specific project requirements, milestones, acceptance criteria, and SLAs are codified in executed Statements of Work (SOW).
2. Intellectual Property (IP) Ownership
Unless explicitly stated otherwise in an SOW:
- Client Deliverables: All custom application code, domain adapters, client fine-tuned model weights, and custom pipeline workflows created specifically for the Client transfer completely to the Client upon final payment.
- Background IP: Pre-existing Alector Lab core libraries, benchmarking suites, and telemetry harnesses remain the property of Alector Lab, licensed perpetually and non-exclusively to Client for operating the delivered systems.
3. Production Acceptance Criteria & Benchmarks
All AI systems are governed by empirical validation criteria defined prior to engineering. Deliverables are validated against predefined quantitative targets (e.g. latency percentiles, precision/recall thresholds, throughput benchmarks) on agreed-upon representative validation datasets.
4. Warranties & Stochastic AI Disclaimers
While Alector Lab engineers systems with rigorous deterministic guardrails, validation schemas, and evaluation gates, Client acknowledges that machine learning systems operate probabilistically. Ongoing accuracy requires regular maintenance against real-world data drift, which is supported under our Managed AI Systems agreements.
5. Governing Law
These Terms are governed by and construed in accordance with the laws applicable to international commercial contracts, without regard to conflict of law principles.
